SERVICES AGREEMENT

This Services Agreement (the “Agreement”) is entered into as of the last date of signature below (the “Effective Date”), by and between:

Tongyi Yunqi (Hangzhou) Information Technology Co., Ltd. (通义云启（杭州）信息技术有限公司), a company having its place of business at Hangzhou, Zhejiang, the People’s Republic of China (the “Company”),

and

AVI PAL, Dakkhin Karmokar Para, Bera, Pabna – 6680, Bangladesh (the “Developer”).

WHEREAS:

The Developer developed and delivered to the Company two custom AI models (LoRA model adapters for the Qwen-Image-Edit-2511 model) under the Company’s Qwen developer program:

(a) “QIE-2511-Color-Grade-Transfer-LoRA” (https://huggingface.co/ovi054/QIE-2511-Color-Grade-Transfer-LoRA); and

(b) “QIE-2511-Draw2Photo-LoRA” (https://huggingface.co/ovi054/QIE-2511-Draw2Photo-LoRA).

The models were developed by the Developer remotely from Bangladesh and delivered to the Company. The Company wishes to record the terms of the engagement and payment under the following terms and conditions.

1. PURPOSE OF PAYMENT

The payment is made in consideration of the AI model development services performed and the AI models delivered by the Developer as described above. The said services constitute IT-enabled services (ITES) performed by the Developer remotely from Bangladesh.

2. AMOUNT OF PAYMENT

The total amount is USD 1,426.41 (USD 792.45 for the “QIE-2511-Color-Grade-Transfer-LoRA” model and USD 633.96 for the “QIE-2511-Draw2Photo-LoRA” model). The amounts were transferred to the Developer’s bank account maintained with Eastern Bank PLC., Dhaka, Bangladesh, and credited on 22 October 2026 (transaction references: 571OR260253676 / C0947JZ0018BGEZ and 571OR260253677 / C0947JZ0018ERMZ). The Developer confirms receipt in full.

3. MISCELLANEOUS

Any income tax payable in Bangladesh (if any) is the responsibility of the Developer. The AI models described above are the Developer’s own original work. This Agreement may be executed electronically and in counterparts, each of which shall be deemed an original.

IN WITNESS WHEREOF, the parties have executed this Agreement below through their duly authorized representatives.
